Agreement to Our Terms
These Terms and Conditions “Terms” govern your access to and use of the website rivershare.ca, along with any related services, products, communications, websites, tools, platforms, or marketing services provided by RiverShare “RiverShare,” “we,” “us,” or “our.”
RiverShare provides practical marketing support for local businesses, including website development, Google Business Profile support, review and reputation systems, digital advertising, print advertising, customer communication tools, and related marketing services.
By accessing our website, contacting us, purchasing services, or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must stop using our website and services.
Our services are intended for users who are at least 18 years old and for businesses or individuals with legal capacity to enter into an agreement.
1. Our Services
RiverShare provides marketing and business support services that may include:
Website design and development
Website updates and landing pages
Google Business Profile support
Review request and reputation management systems
Customer review collection support
Digital advertising, including Google Ads and Meta Ads
Print advertising, including signs, flyers, business cards, and related materials
Marketing strategy and campaign support
Customer communication systems
Reporting, analytics, and performance tracking
Related consulting and implementation services
The specific services provided to you will depend on the proposal, invoice, order form, service package, or written agreement between you and RiverShare.
2. No Guaranteed Results
RiverShare makes reasonable efforts to provide professional marketing services, but we do not guarantee specific business outcomes.
You understand and agree that we do not guarantee:
A specific number of leads
A specific number of reviews
A specific review rating
A specific ranking on Google
A specific advertising return on investment
A specific amount of website traffic
A specific increase in revenue
Approval, visibility, or continued display of reviews on third-party platforms
Approval or continued performance of any advertising account or campaign
Marketing results can vary based on your industry, competition, budget, market conditions, customer experience, offer quality, advertising platforms, and other factors outside of our control.
3. Client Responsibilities
You agree to provide accurate, complete, and timely information needed for RiverShare to perform the services.
This may include:
Business information
Branding materials
Logos and images
Website access
Domain and hosting access
Google Business Profile access
Social media or advertising account access
Customer contact information
Product or service details
Feedback and approvals
Payment information
You are responsible for ensuring that any information, images, logos, reviews, customer data, or materials you provide to RiverShare are accurate, lawful, and authorized for use.
Delays in providing required information, feedback, access, or approvals may delay the delivery of services.
4. Customer Contact Information and Consent
Some RiverShare services may involve using customer contact information to send review requests, feedback requests, appointment reminders, marketing messages, or related communications.
If you provide customer contact information to RiverShare, you represent and warrant that:
You collected the information lawfully
You have the required consent or legal authority to contact those individuals
You have the required consent to provide the information to RiverShare
The information is accurate and up to date
The individuals have not opted out or withdrawn consent
Your use of the information complies with applicable privacy, anti-spam, and electronic communication laws
This includes compliance with Canada’s Anti-Spam Legislation, privacy laws, and any other laws that apply to your business or customers.
RiverShare relies on the information and confirmations you provide. We do not independently verify whether your customer lists were collected lawfully.
You are solely responsible for any claims, complaints, penalties, losses, or legal issues that arise from providing customer information without proper consent or authority.
5. Review and Reputation Services
RiverShare may help you collect, monitor, manage, or promote customer reviews and testimonials.
This may include:
Sending review requests
Creating review request links
Setting up review request systems
Supporting Google Business Profile review growth
Creating social media graphics from public reviews
Embedding reviews on websites
Monitoring reviews or review-related performance
Supporting review response workflows
You understand that RiverShare cannot control whether customers leave reviews, what rating they provide, or whether a third-party platform displays, removes, filters, or modifies a review.
Third-party platforms such as Google, Facebook, Instagram, and other review websites operate independently. RiverShare is not responsible for their rules, decisions, ranking systems, moderation, or platform changes.
6. Advertising Services
RiverShare may provide advertising services across platforms such as Google, Meta, or other digital channels.
You understand that advertising platforms are operated by third parties and may change their rules, pricing, algorithms, approval standards, account settings, or availability at any time.
RiverShare is not responsible for:
Ad disapprovals
Account suspensions
Platform outages
Changes in advertising costs
Changes in platform policies
Poor campaign performance caused by offer, website, budget, market, or industry conditions
Leads that do not convert into customers
Invalid, low-quality, or spam inquiries from third-party platforms
Ad spend is separate from RiverShare’s management fees unless otherwise stated in writing.
7. Website and Creative Services
For website, branding, design, print, or creative services, you are responsible for reviewing and approving all final materials before publication, printing, or launch.
Once you approve a design, website, campaign, print file, or other deliverable, RiverShare is not responsible for errors that were present in the approved version, including spelling, pricing, contact information, business details, or layout issues.
You are responsible for ensuring that all claims made in your website, ads, print materials, or marketing content are accurate, lawful, and not misleading.
8. Third-Party Platforms and Integrations
Our services may require the use of third-party platforms, including but not limited to:
Google
Meta
Website hosting providers
Domain registrars
Email platforms
SMS platforms
Customer relationship management systems
Review management software
Analytics tools
Payment processors
Print vendors
Automation tools
You agree that your use of third-party platforms is governed by their own terms, policies, and privacy practices.
RiverShare is not responsible for third-party platform outages, errors, account suspensions, policy changes, data loss, billing changes, or service interruptions.
You are responsible for maintaining access, credentials, billing, and ownership of any third-party accounts used for your business unless otherwise agreed in writing.
9. Account Access and Permissions
To provide services, RiverShare may need access to your website, hosting, domain, Google Business Profile, social media accounts, advertising accounts, CRM, or other business tools.
You authorize RiverShare to access and use these accounts only as needed to provide the agreed services.
You are responsible for ensuring you have the legal authority to grant RiverShare this access.
You may revoke access at any time, but doing so may limit or prevent RiverShare from providing the services.
10. Payments and Billing
You agree to pay all fees listed in the applicable proposal, invoice, order form, subscription plan, or service agreement.
Unless otherwise stated in writing:
Fees are due according to the invoice or payment terms provided
Monthly services are billed in advance
Setup fees, design fees, and one-time project fees may be required before work begins
Advertising spend, software costs, printing costs, hosting costs, domain fees, and third-party charges may be billed separately
Late payments may result in paused services, suspended work, or termination of services
RiverShare may change service pricing from time to time. Price changes will not affect existing fixed-price projects already approved unless the project scope changes.
11. Subscriptions and Ongoing Services
Some RiverShare services may be provided on a monthly or recurring basis.
Unless otherwise agreed in writing, recurring services continue until cancelled by either party.
You may cancel ongoing services by providing written notice to RiverShare. Cancellation takes effect at the end of the current billing period unless otherwise stated in your agreement.
RiverShare does not guarantee refunds for partially used billing periods, setup fees, advertising management fees, completed work, approved work, or third-party costs already incurred.
12. Scope Changes
Any request outside the original agreed scope may require additional fees.
Examples of scope changes include:
Additional website pages
Extra revisions
New campaign requests
New creative assets
Additional integrations
Rush delivery
Rewriting approved content
Rebuilding approved designs
Extra meetings or consulting time
Technical work not included in the original agreement
RiverShare may provide a separate quote or invoice before completing additional work.
13. Client Delays and Project Timelines
Project timelines depend on timely client feedback, approvals, content, access, and payment.
RiverShare is not responsible for delays caused by:
Late responses
Missing content
Missing account access
Delayed approvals
Third-party platform issues
Client-requested changes
Payment delays
Changes in project scope
If a project is inactive for an extended period due to client delay, RiverShare may pause the project, revise the timeline, or require additional fees to restart work.
14. Intellectual Property
Unless otherwise agreed in writing, RiverShare retains ownership of its internal systems, processes, templates, strategies, methods, code libraries, design concepts, source files, and pre-existing materials.
After full payment, you receive ownership or usage rights to the final deliverables created specifically for you, such as final website content, final graphics, final print files, and final approved marketing assets.
You do not receive ownership of RiverShare’s underlying tools, templates, software, systems, processes, or working files unless expressly agreed in writing.
RiverShare may display completed work in its portfolio, website, social media, proposals, case studies, or marketing materials unless you request otherwise in writing.
15. Client Materials
You retain ownership of the materials you provide to RiverShare, including logos, images, brand assets, business information, testimonials, customer data, and other content.
By providing these materials, you grant RiverShare permission to use them as needed to provide the services.
You confirm that you have the rights, permissions, and licenses required for RiverShare to use the materials.
You agree to indemnify RiverShare for any claims related to materials you provide.
16. User Generated Content and Reviews
If you provide reviews, testimonials, comments, images, videos, or other content to RiverShare, you grant RiverShare permission to use that content for the purpose of providing services, displaying social proof, creating marketing materials, or promoting your business.
You confirm that any content you provide is accurate, lawful, and does not infringe the rights of another person or business.
RiverShare may remove or refuse to use any content that we believe is unlawful, misleading, harmful, inappropriate, or in violation of these Terms.
17. Prohibited Uses
You agree not to use RiverShare’s website or services to:
Violate any law or regulation
Send messages without proper consent
Upload unlawful customer data
Harass, abuse, mislead, or harm others
Infringe intellectual property rights
Publish false or misleading claims
Send spam or unauthorized marketing messages
Upload viruses, malware, or harmful code
Attempt to gain unauthorized access to systems
Interfere with the operation of our website or services
Use our services for illegal, deceptive, or fraudulent purposes
Copy, resell, or exploit our systems or materials without permission
We may suspend or terminate services if we believe you have violated these Terms.
18. Privacy
Your use of RiverShare’s website and services is also governed by our Privacy Policy.
By using our website or services, you agree to our collection, use, and handling of information as described in the Privacy Policy.
19. Confidentiality
Both parties may receive confidential or business-sensitive information during the course of working together.
Each party agrees to take reasonable steps to protect confidential information and not disclose it to third parties except as needed to provide services, comply with law, or operate the business.
Confidential information does not include information that is public, already known, independently developed, or lawfully received from another source.
20. Data Storage and Backups
RiverShare may store files, account information, campaign data, website materials, customer lists, reports, and project information as needed to provide services and maintain business records.
Although we may use reasonable backup and storage practices, you are responsible for keeping your own copies of important business data, files, credentials, content, and records.
RiverShare is not responsible for data loss caused by third-party platforms, client error, expired accounts, deleted access, hosting issues, or events outside our reasonable control.
21. Service Availability
RiverShare aims to provide reliable service but does not guarantee uninterrupted availability.
Services may be delayed, interrupted, or unavailable due to maintenance, technical issues, third-party platform outages, hosting issues, internet disruptions, software errors, or events beyond our control.
RiverShare is not liable for losses caused by temporary service interruptions or third-party platform failures.
22. Disclaimers
Our services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, RiverShare disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and performance.
RiverShare does not warrant that services will be error-free, uninterrupted, secure, or produce a specific result.
23. Limitation of Liability
To the fullest extent permitted by law, RiverShare will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, reputational harm, data loss, advertising loss, or platform-related losses.
To the fullest extent permitted by law, RiverShare’s total liability for any claim related to the services will be limited to the amount paid by you to RiverShare for the specific service giving rise to the claim during the one month before the claim arose.
Some jurisdictions do not allow certain limitations of liability. In those cases, our liability will be limited to the maximum extent permitted by law.
24. Indemnification
You agree to defend, indemnify, and hold harmless RiverShare, its owners, employees, contractors, partners, and affiliates from any claims, losses, damages, penalties, costs, or expenses arising from:
Your use of our services
Your breach of these Terms
Your violation of any law or regulation
Your customer data or contact lists
Your failure to obtain proper consent
Your advertising, marketing, or website claims
Materials, images, logos, or content you provide
Your violation of third-party platform rules
Claims made by your customers, users, or business contacts
Unauthorized or improper use of our services by you or your team
This obligation survives termination of the services.
25. Termination and Suspension
RiverShare may suspend or terminate your access to services if:
You fail to pay required fees
You breach these Terms
You misuse the services
You provide unlawful data or materials
You violate privacy, anti-spam, or advertising laws
Your use creates legal, security, reputational, or operational risk
A third-party platform, legal authority, or service provider requires us to do so
Upon termination, RiverShare may stop work, remove access, pause campaigns, disable systems, or stop providing services.
You remain responsible for all amounts owed for services already provided, work completed, third-party costs incurred, and approved project work.
26. Refunds
Unless otherwise stated in writing, payments are non-refundable once work has started, services have been delivered, advertising management has begun, third-party costs have been incurred, or project resources have been allocated.
Refunds, if any, are provided at RiverShare’s discretion or according to a specific written agreement.
27. Electronic Communications
By contacting RiverShare, submitting forms, signing agreements, or using our services, you consent to receive electronic communications from us.
Electronic communications may include emails, invoices, service updates, project messages, notices, forms, contracts, and other business communications.
You agree that electronic communications satisfy any legal requirement that communications be in writing.
28. SMS and Text Messaging
If you provide a mobile phone number, you agree that RiverShare may contact you by SMS or text message for service-related purposes, including project updates, appointment reminders, review system communications, or account support.
Message and data rates may apply.
You may opt out of SMS communications by replying STOP, where supported.
If RiverShare sends SMS messages on behalf of your business, you are responsible for ensuring recipients have provided proper consent to receive those messages.
29. Governing Law
These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada.
Any disputes arising from these Terms or the services will be handled in the courts located in Alberta, unless otherwise required by law or agreed in writing.
30. Dispute Resolution
Before starting formal legal proceedings, both parties agree to make reasonable efforts to resolve disputes in good faith.
This may include written communication, negotiation, or mediation where appropriate.
Nothing in this section prevents RiverShare from seeking immediate legal or equitable relief where necessary to protect its intellectual property, confidential information, systems, or legal rights.
31. Force Majeure
RiverShare is not responsible for delays or failures caused by events outside our reasonable control.
This may include natural disasters, power outages, internet failures, platform outages, cyberattacks, labour disruptions, government actions, illness, emergencies, payment processor issues, telecommunications failures, or third-party service interruptions.
32. Changes to These Terms
RiverShare may update these Terms from time to time.
The updated version will be posted on our website with a revised “Last Updated” date.
Your continued use of our website or services after changes are posted means you accept the updated Terms.
33. Severability
If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining parts will continue in full force and effect.
34. No Waiver
If RiverShare does not enforce a provision of these Terms, that does not mean we waive our right to enforce it later.
35. Assignment
You may not assign or transfer your rights or obligations under these Terms without RiverShare’s written consent.
RiverShare may assign or transfer its rights and obligations as part of a business transfer, restructuring, merger, sale, or operational change.
36. Entire Agreement
These Terms, together with any proposal, invoice, order form, written agreement, and Privacy Policy, form the entire agreement between you and RiverShare regarding the services.
If there is a conflict between these Terms and a signed written agreement, the signed written agreement will control for that specific service.
